1. Agreement to Terms

By accessing and using Konektly ("the Platform" or "the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Konektly is a comprehensive social media management platform that enables users to connect multiple social media accounts, create and schedule posts across different platforms, and manage their social media presence from a single dashboard. Our services include:

  • Multi-platform social media account management and connection services
  • Content creation and scheduling tools across Twitter/X, TikTok, Instagram, Facebook, and YouTube
  • Post scheduling and publication services with precise timing control
  • Platform-specific content optimization and customization
  • Account management and connection status tracking
  • Email notifications and communication services
  • Dashboard analytics and performance tracking

3. User Accounts and Registration

To access certain features of the Platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account
  • Ensure you have the legal right to connect and manage the social media accounts you link to our service

4. Social Media Account Connections

4.1 Connection Requirements

When connecting your social media accounts to our Platform, you must:

  • Own or have proper authorization to manage the social media accounts you connect
  • Provide accurate account information and maintain valid credentials
  • Comply with all applicable laws and regulations
  • Not connect accounts that violate intellectual property rights
  • Maintain active and valid OAuth tokens for connected accounts

4.2 Account Management

You can connect and disconnect social media accounts at any time through your dashboard. We reserve the right to review, approve, reject, or remove any account connection at our sole discretion. Account connections may be rejected or removed for reasons including but not limited to:

  • Invalid or expired authentication tokens
  • Violation of platform terms of service
  • Suspicious or fraudulent activity
  • Violation of our community guidelines
  • Non-compliance with platform API requirements

5. Content and Posting

5.1 Content Responsibility

You are solely responsible for all content you create, schedule, and post through our Platform. You agree that:

  • You own or have proper authorization to post all content
  • Content complies with all applicable laws and regulations
  • Content does not infringe on intellectual property rights of others
  • Content complies with each platform's terms of service and community guidelines
  • Content is not harmful, malicious, or inappropriate

5.2 Content Moderation

We reserve the right to review, approve, reject, or remove any content at our sole discretion. Content may be rejected or removed for reasons including but not limited to:

  • Inappropriate or harmful content
  • Violation of intellectual property rights
  • Misleading or false information
  • Violation of platform community guidelines
  • Spam or unsolicited communications

6. Social Media Platform API Compliance

Our service integrates with various social media platforms' APIs for content publishing and account management. By using our service with any connected platform:

  • You acknowledge that you are using each platform's official API through our service
  • You agree to comply with each platform's Terms of Service, Community Guidelines, and API Terms of Use
  • You understand that platforms may impose rate limits, content restrictions, and usage policies that affect our service
  • You agree that platforms may audit, suspend, or terminate API access for violations of their policies
  • You acknowledge that content posted through our service is subject to each platform's content moderation and community standards
  • You agree to respect each platform's posting limits and API rate limits

6.1 Platform-Specific Requirements

TikTok

  • Production API usage subject to TikTok's terms and conditions
  • Daily posting limits and rate limiting apply
  • Content must comply with TikTok's Community Guidelines
  • URL ownership verification may be required for certain content types
  • Features like comments, duets, and stitches may be disabled based on account settings

Twitter/X

  • Twitter API v2 usage subject to Twitter's Developer Agreement
  • Rate limits and posting restrictions apply
  • Content must comply with Twitter's Terms of Service and Rules
  • Account verification requirements may apply

Instagram

  • Instagram Basic Display API and Graph API usage
  • Content must comply with Instagram's Community Guidelines
  • Business account requirements may apply for certain features
  • Content moderation and review processes apply

Facebook

  • Facebook Graph API usage subject to Facebook's Platform Terms
  • Content must comply with Facebook's Community Standards
  • Page and profile management permissions required
  • Advertising policies apply to promotional content

YouTube

  • YouTube Data API v3 usage subject to YouTube's Terms of Service
  • Content must comply with YouTube's Community Guidelines
  • Channel verification and monetization policies apply
  • Copyright and content ID policies must be respected

Important: Each platform's API is subject to their respective terms and conditions. Any violation of platform policies may result in the suspension of your integration with that platform and potentially your entire account with our service.

7. Prohibited Uses

You may not use our Platform:

  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • To submit false or misleading information
  • To upload or transmit viruses or any other type of malicious code
  • To spam, phish, pharm, pretext, spider, crawl, or scrape
  • For any obscene or immoral purpose
  • To interfere with or circumvent the security features of the Platform
  • To exceed rate limits or abuse API endpoints of connected social media platforms
  • To post content that violates community guidelines of any connected platform
  • To use automated posting that violates platform policies

8. Intellectual Property Rights

8.1 Your Content

You retain ownership of all intellectual property rights in your content and posts. By submitting content to our Platform, you grant us a non-exclusive, royalty-free license to display, distribute, and post your content to the social media platforms you select as part of our services.

8.2 Platform Content

The Platform and its original content, features, and functionality are owned by Konektly and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Platform, to understand our practices regarding the collection and use of your information, including how we handle data from connected social media platforms.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

We do not guarantee that our Platform will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Platform. The service may be temporarily unavailable due to:

  • Maintenance, updates, or system improvements
  • Third-party platform API outages or changes
  • Network connectivity issues
  • Circumstances beyond our control
  • Rate limiting or restrictions imposed by social media platforms

10.2 Third-Party Content

The Platform may contain links to third-party websites or services that are not owned or controlled by Konektly. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We are not responsible for service interruptions caused by third-party platforms or their API changes.

10.3 Limitation of Liability

In no event shall Konektly, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use of the service
  • Third-party platform API changes or outages
  • Content moderation actions by social media platforms
  • Account suspensions or restrictions by third-party platforms
  • Data loss or corruption
  • Service interruptions or technical issues

11. Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to:

  • A breach of these Terms
  • Violation of any connected platform's terms of service or community guidelines
  • Engagement in fraudulent or illegal activities
  • Abuse of our service or connected platform APIs
  • Failure to pay applicable fees (if any)

Upon termination, your right to use the service will cease immediately, and we may delete your account and associated data in accordance with our data retention policies.

12. Governing Law

These Terms shall be interpreted and governed by the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Refund Policy

13.1 Refund Eligibility

We offer refunds for our services under the following circumstances:

  • Service Non-Delivery: If we are unable to deliver the promised services due to technical problems on our end
  • Duplicate Payment: If you are accidentally charged multiple times for the same service
  • Service Cancellation: If you request cancellation before the service is delivered or activated
  • Technical Issues: If our platform experiences significant technical problems that prevent you from using the service you purchased
  • Unauthorized Charges: If a charge was made without your authorization

13.2 Refund Exclusions

We do not provide refunds for:

  • Change of mind after service delivery
  • Dissatisfaction with service results or performance
  • Failure to use the service due to user error or negligence
  • Technical issues on your end (browser compatibility, network issues, etc.)
  • Violation of our Terms of Service resulting in account suspension or termination
  • Requests made more than 30 days after the original purchase date
  • Services that have been fully utilized or consumed
  • Third-party platform issues or restrictions (e.g., social media platform API changes)

13.3 Refund Process

To request a refund, please contact us at support@konektly.app with your account email address, order or transaction ID, date of purchase, and reason for refund request.

We will review your refund request within 5-7 business days. If approved, refunds will be processed within 5-10 business days and issued to the original payment method used for the purchase.

13.4 Subscription Services

If you have a subscription service, you can cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. Subscription fees are generally non-refundable, except for cancellation requests made within 14 days of initial subscription purchase (if applicable by law) or in cases of technical issues preventing service access that we cannot resolve.

13.5 Chargebacks

If you initiate a chargeback or dispute with your payment provider before contacting us, we may suspend your account and services until the dispute is resolved. We encourage you to contact us first to resolve any issues, as we are committed to finding a satisfactory solution.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. Continued use of the service after such changes constitutes acceptance of the new terms.
